Service provision

By means of this contract CARTA FOOD, S.L., offers the client a basic service aimed at those companies that provide hotel and catering services, consisting of the right to use a QR code, through which the client may offer users of its services the information relating to its menu or menu. This information will be stored in some of the servers that CARTA FOOD, S.L. has contracted. Through this basic service the client will be able to manage their digital menu completely online, being able to add, delete or modify the categories, products, dishes, drinks, as well as upload photographs of them, assign suggestions from the chef, etc, and subsequently print this QR code for use by the users of their establishment. The user of the client's services will be able to have the menu or menu on their mobile device, with the information uploaded by the client by scanning the QR code that CARTA FOOD S.L. will have digitally generated for the client, without the need to install any application on their device. In this way, the catering company avoids direct contact and physical menus or menus are eliminated, avoiding the risk of users of the restaurant, cafeteria, etc., handling paper menus or other materials. With CARTAFOOD's basic service, the hotel or restaurant business will be able to:
- Create their digital menu or menu.
- Highlight the dishes that provide the business with the highest profit.
- Modify the prices of products at any time.
- Deactivate dishes that are not available or have run out.
- Avoid disinfection of physical menus.
- Increase in table rotation, as digitising the system avoids personal interactions.
- Promote products on the digital menu that have a low turnover.
- Reduce or increase the number of dishes on offer according to the rhythm of the kitchen.
- Insert a customer-designed logo on the QR sticker

In addition to the basic service, the customer can contract other additional modules to CARTAFOOD:
1.- "take away" module: the user of the client's establishment places the order and goes to pick it up at the programmed time.
2.- "delivery" module: the user at the customer's establishment can place the order from home, pay in advance and receive the order at the time he/she requests.

Apart from the additional modules, CARTA FOOD, S.L. can design the customer's logo in three different styles for a single payment. In addition to the design, the customer can also hire CARTA FOOD S.L. to print with quality ink and send the QR stickers to the customer with a printing guarantee of 1 year and in a material resistant to sun, rain and chemical cleaning products. This guarantee will be valid as long as the stickers are used properly, and will not apply in the case of intentional breakage or defects in the process of sticking the sticker to a substrate made by the customer. El diseño del logo se tendrá disponible en el plazo máximo de 3 días laborales (no cuentan sábados, domingos ni festivos). En caso de que CARTA FOOD S.L. no tuviera terminado el logo en dicho plazo, procederá a la devolución del importe abonado por dicho servicio de diseño (únicamente por ese servicio).

The contracted products will be those that appear in the description of the heading of the present contract and for which the invoice will be issued.

The client will receive in a maximum period of 48 hours from the verification of the payment of the contracted services, the credentials related to his registration in the basic service, which will give him access to the CARTAFOOD platform, nevertheless this period can be extended in the case that the demand of access to the CARTAFOOD services by other clients causes a saturation of requests of registration in the services. The registration in the additional modules contracted by the client will be available in a maximum period of 30 days from the payment of the contracted services, and in any case the said registration in the additional modules will be conditioned to the fulfilment by the client of the necessary technical requirements for the functionality of the module. Nevertheless, in the case that the client contracts any additional module and in the term of 30 days it is not operative, the client will be entitled to cancel that additional module (not the basic service of CARTAFOOD), being agreed that CARTAFOOD S.L. will reimburse the amount that the client had paid for that module, without any additional compensation.

The duration of the service is that indicated on the invoice attached at the beginning of this document and shall be binding on the customer. This contract will be considered automatically extended for the same periods as those initially contracted, unless either of the parties express their wish not to renew it 30 calendar days prior to the end of the contract or any of its extensions. This is without prejudice to the customer's right to withdraw from the contract as established in the section "rates applicable to the services".

CARTA FOOD S.L., is authorised to totally or partially assign the present contract to third parties, without this implying any reduction in the rights and obligations of the contract. In case of assignment of the contract by CARTA FOOD S.L., the company that replaces it will be subrogated to its contractual position. The assignment of the contract by CARTA FOOD may be carried out without the customer's consent or authorisation.

On the other hand, it is expressly agreed that the customer may not assign the present contract, either totally or partially, without the prior written authorisation of CARTA FOOD S.L.

Payment conditions


Payment for orders through the Website may only be made by debit or credit card or bank transfer. Please note that collection transactions may be subject to delays and sometimes it may take up to sixty (60) days for payments to be deducted from your bank account or charged to your credit card. Payment for services and all applicable delivery charges is made in advance. We will charge your debit card or credit card at the time of placing your order, in case of a receipt being returned the customer will bear the costs of bank charges for the amount returned, also authorizes CARTA FOOD S.L. that, upon request of the debt, may publish in databases of defaulters all outstanding payments or returned if any and will only be eliminated once any negative balance outstanding in favor of CARTA FOOD S.L.

In the event of non-payment of any instalment by the client, if after the payment request made by CARTA FOOD S.L., the client does not proceed to regularise the payment of the service within 7 calendar days, CARTA FOOD S.L. may terminate the contract, without prejudice to claiming from the client the amounts owed corresponding to the total duration of the contract that remain to be paid, in addition to any damages that may have been generated.

Fees applicable to the services


CARTA FOOD S.L. may modify the rates at any time. However, the prices initially agreed will be maintained, with the modifications taking effect from the extension of the contract. If CARTA FOOD S.L. decides to modify the prices, it will notify the client at least 30 days before the end of the contract, and the client will have 5 calendar days to state whether he/she does not wish to renew the contract. If the customer does not express his/her wish to withdraw from the contract, the new rates will be applied from that renewal onwards. If the customer expresses his/her wish to terminate the contract, CARTA FOOD S.L. will cease to provide the service, without the customer being entitled to any compensation whatsoever.

The service of CARTAFOOD FOR ONLINE ORDERS is free for the first 3 months , after this period the client will have to contract one of our modules, payment gateway, mobile app, some payment module.

When the annual turnover is more than 10.000€ per year in orders thanks to our software the customer must have a minimum monthly billing contracted of 60€ per month + VAT, such as mobile app modules or any other module to increase sales.

Events beyond our control


We shall not be liable for any failure to perform or delay in the performance of any of our obligations under the Contract which is due to events beyond our control ("Force Majeure").

Force Majeure shall mean any act, event, omission or accident beyond our control and includes in particular (without limitation) the following: (a) strikes, work stoppages or any other industrial action; (b) civil unrest, riots, riots between partners or 3 persons, employee riots, theft at our offices, theft of data, hacking of data, blocking of data, suspension of internet connection, invasions, terrorist attacks, wars (declared or undeclared), threats or preparations for war; (c) fire, explosion, storm, flood, earthquake, subsidence, epidemics and any other natural disasters. (d) inability to use railways, ships, aircraft, motor transport or any other form of public or private transport. (e) inability to use public or private telecommunications networks and (f) acts, decrees, legislation, regulations or restrictions of any government.

Our obligations will be suspended for the duration of the event of Force Majeure and we will have an extension of time for performance for the duration of such period.

Apart from the cases established above, in the event that the service is not provided by CARTA FOOD S.L., it is expressly agreed between CARTA FOOD S.L. and the client that the latter will be refunded the proportional part of the fees for the time that the service has been interrupted, the client expressly renouncing in this act to any compensation and to any legal action that exceeds what has been agreed here.

General terms and conditions of access


This legal notice informs users of the general conditions for accessing and consulting the services offered by the portal. The owner reserves the right to modify them without prior notice.

Access to and use of these services by visitors or users implies full and unreserved acceptance of these general terms and conditions. It should be noted that this website is not specifically aimed at minors.

In order to avoid the accumulation of accounts and the slowing down of the software, the platform has a system for recycling unused accounts, which works as follows:

  • After 3 months of inactivity (meaning that the restaurant has no orders, no login and no active paid services), the system will send notifications over the course of a month and then effectively delete that account. It is sufficient for the restaurant to log in to stop this automatic process.
  • Once deleted, an account cannot be recovered.

      The Portal makes technical linking devices available to Users, which allow Users to access websites and web pages belonging to or managed by third parties. The purpose of the installation of these links on the Portal is to improve the content of the website.

      The establishment of the link does not imply the existence of any relationship between the owner and the owner of the linked website, nor does it imply approval by the owner of its contents and/or services, the owner being solely responsible for them. The User, therefore, must exercise extreme caution when evaluating and using the information, content and services existing on the linked portals.
